Terms of Use Agreement

1. Commencement and Termination


1. This Agreement shall come into force upon your acceptance as an Affiliate and shall remain in effect until terminated.
2. Only those that have been reviewed and approved are permitted to participate. LSM Network reserves the right to withhold or refuse approval on any website, newsletter, company, or individual for any reason, whatsoever.
3. All websites, newsletters, companies, or individuals need official approval from LSM Network before they can become an Affiliate.
4. LSM Network is entitled to terminate this Agreement and/or suspend the Affiliate from the LSM Network service or from a certain Operators Affiliate Program at any time, giving reasonable notice where possible.
5. LSM Network actively monitors traffic for Fraud. If we detect Fraud, your account will be made inactive pending further investigation.


2. Legal Age


1. You must be 18 years or older to sign up as a LSM Network Affiliate.


3. Liability Limits


1. LSM Network cannot guarantee or warrant the performance of the LSM Network service or the links to any linked websites. LSM Network shall not be liable for any error in the implementation of the links on the Affiliate's website or for the specified function of the links.



4. Artificial Traffic



1. The Affiliate must not in any way generate or contribute to generating Artificial Traffic to Linked Websites.
2. The Affiliate should not use any means of artificial traffic to gain sales commission, this includes the use of software or products that alter fellow Affiliates link codes or intercept click through traffic from the affiliate to the merchant's site.


5. Copyright


1. All copyright, trademarks and all other intellectual property rights found on the LSM Network website and its content are owned by or licensed to LSM Network as permitted by law.
2. No material on this website may be copied or reproduced in any form whatsoever, whether physical, electronic or otherwise, without prior consent in writing. This excludes the downloading, copying and/or printing of pages of the Website for personal, non-commercial home use only.


6. Payment


1. 1. LSM Network undertakes to make payment to all Affiliates upon the receipt of an invoice at the end of each month. Payment is only made to Affiliates in the UK that have a minimum balance of £100 (one hundred pounds) in their account or joint accounts.
2. All legitimate earnings due to an Affiliate in the month of termination notice will be paid during the next billing cycle. If the Affiliate defrauds the system, then payment is revoked as determined solely by LSM Network.
3. Nothing in this Agreement shall create or be deemed to create, a partnership or relationship of employer and employee between LSM Network and the Affiliate.
4. The Affiliate is responsible for the payment of all tax and national insurance payable on any payments made to him/her by LSM Network.


7. Indemnification


1. You agree to indemnify, defend and hold LSM Network and their respective directors, officers, shareholders, employees, agents, attorneys, advertisers, and publishers harmless from any liability, loss, claim or expense, including reasonable attorneys' fees, related to your use of the Site or violation of this Agreement.
2. Affiliates agree not to carry objectionable materials on their website which would revoke their affiliation as determined by LSM Network. Affiliates will only run approved banners and text in their advertising of our programs and will NOT create their own banners or advertising text, unless expressly approved in writing from LSM Network. Editing of an Operators program images or copy is strictly prohibited.
3. Violation of this forfeits your commissions. Affiliates WILL NOT spam or send unsolicited email mentioning or promoting the Affiliate program. Any violation of this will result in the Affiliate being liable for damages as deemed by a court of law.
4. You guarantee that all content, products, and services on your web site are legal to distribute and that you own or have the legal right to use any and all copyrighted material.


8. Affiliates Information


1. The Affiliate consents to the publication of the Affiliate's name and web address etc on the LSM Network website and to LSM Network sending newsletters etc to the Affiliate's e-mail address and using the information given by the Affiliate for marketing purposes.
2. The Affiliate confirms that in order to enable LSM Network to improve and/or to promote or market the service, LSM Network may produce statistics or summaries relating to the use of the service.
3. LSM Network may contact the Affiliate by email, telephone or post for feedback relating to the service including any ways in which it might be improved both for the network and for the individual Affiliate.


9. Legal Content and Approval


1. The Affiliate is solely responsible for his/her website and all its contents and shall ensure that they conform at all times to all applicable laws and regulations. If the Affiliate is based outside of the United Kingdom then they must also undertake to ensure their website is compliant with the laws of the United Kingdom.
2. The Affiliate shall not use his/her links with any website/service that is not registered with or notified LSM Network.
3. We make no warranty that the LSM Network website will be uninterrupted, timely, or error free nor do we make any warranty as to the results that may be obtained from the use of the website or as to the accuracy or reliability of any information obtained through it.
4. This Agreement (Terms and Conditions) will be governed by the laws of the United Kingdom, without reference to rules governing choice of laws.


10. Website and Agreement Amendments


1. LSM Network reserves the right to:
2. Change or remove (temporarily or permanently) the Website or any part of it without notice and you confirm that LSM Network shall not be liable to you for any such change or removal; and
3. Change these Terms and Conditions at any time, and your continued use of the Website following any changes shall be deemed to be your acceptance of such change.
